Welcome to HelloAIFlow.com. These Terms and Conditions ("Terms") govern your access to and use of the website, applications, and artificial intelligence services provided by Hello AI ("Company," "we," "us," or "our").

Please read these Terms carefully. By creating an account, accessing our website, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

1. Definitions

  • "Services" refers to the website www.helloaiflow.com, our artificial intelligence models, applications, software, and any related content or features provided by the Company.

  • "User," "you," or "your" refers to the individual or entity accessing or using the Services.

  • "User Content" or "Input" refers to any text, data, images, voice recordings, or other information you provide, upload, or submit to the Services.

  • "AI Output" or "Output" refers to the text, images, analyses, or other content generated and returned by the Services based on your User Content.

2. Eligibility and User Accounts

  • Age Requirement: You must be at least 18 years old to create an account and use our Services. If you are between the ages of 13 and 18, you may use the Services only with the permission and supervision of a parent or legal guardian who agrees to be bound by these Terms. The Services are not intended for children under 13.

  • Account Security: You are responsible for maintaining the confidentiality of your account credentials (username and password). You agree to notify us immediately of any unauthorized use of your account. You are fully responsible for all activities that occur under your account.

3. Use of Services

  • License to Use: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes, in accordance with these Terms.

  • Service Modifications: We reserve the right to modify, suspend, or discontinue the Services, or any part thereof, at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

4. Content Ownership and Rights

4.1. Your User Content (Input)

You retain all ownership rights to your User Content. However, to enable us to operate and improve the Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and prepare derivative works of your User Content solely for the purposes of providing, maintaining, and developing the Services.

4.2. AI-Generated Content (Output)

Subject to your compliance with these Terms, we hereby assign to you all our rights, title, and interest in and to the AI Output you generate. This means you can use the AI Output for any purpose, including commercial purposes, provided your use does not violate our Acceptable Use Policy (Section 5). You acknowledge that due to the nature of AI, Outputs may not be unique across users, and the Services may generate the same or similar Output for other users.

5. Acceptable Use Policy

You agree not to use the Services to create, upload, or share any content that:

  • Is illegal, fraudulent, or promotes illegal activities.

  • Is harmful, threatening, defamatory, obscene, harassing, or hateful.

  • Infringes upon any third party's intellectual property rights, including copyright, patent, trademark, or trade secrets.

  • Contains viruses, malware, or other malicious code.

  • Attempts to reverse engineer, decompile, or discover the source code or underlying components of our models and systems.

  • Generates or disseminates misinformation, disinformation, or "spam."

  • Generates content that is sexually explicit or pornographic.

  • Represents that the Output was human-generated when it was not.

  • Violates the privacy or personal rights of others.

We reserve the right to suspend or terminate your access to the Services for any violation of this policy.

6. Fees, Payment, and Subscriptions

  • Paid Services: Certain features of the Services may require payment ("Paid Services"). We will notify you of the applicable fees before you are charged.

  • Billing: If you subscribe to a Paid Service, you agree to provide accurate and complete billing information. You authorize us and our third-party payment processor to charge your chosen payment method for all applicable fees.

  • Subscriptions: Subscriptions will automatically renew at the end of each billing cycle unless you cancel your subscription through your account settings before the renewal date.

  • Refunds: All fees are generally non-refundable except as required by law or as explicitly stated in our refund policy at the time of purchase.

7. Intellectual Property

Excluding User Content and AI Output, all other aspects of the Services, including the website, underlying AI models, software, graphics, branding, and trademarks, are the exclusive property of Hello AI and its licensors. You may not use our branding or trademarks without our prior written consent.

8. Termination

  • Termination by You: You may terminate these Terms at any time by deleting your account and ceasing to use our Services.

  • Termination by Us: We may suspend or terminate your account and access to the Services at our sole discretion, without notice, for any reason, including but not limited to a breach of these Terms.

  • Effect of Termination: Upon termination, your license to use the Services will cease. Sections 4, 7, and 9 through 15 of these Terms will survive termination.

9. Disclaimers of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. ARTIFICIAL INTELLIGENCE IS A RAPIDLY EVOLVING FIELD. WE MAKE NO GUARANTEES AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI OUTPUT. YOU ACKNOWLEDGE THAT YOU USE ANY AI OUTPUT AT YOUR OWN RISK.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HELLO AI, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; OR (C) ANY BUGS, VIRUSES, OR MALICIOUS CODE THAT MAY BE TRANSMITTED THROUGH THE SERVICES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Hello AI and its affiliates, officers, directors, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including attorney's fees) arising from or related to your use of the Services or your violation of these Terms.

12. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law principles.

  • Informal Resolution: We encourage you to contact us first at legal@helloaiflow.com to resolve any dispute. We will try to resolve the dispute informally through negotiation.

  • Binding Arbitration: If we cannot resolve a dispute informally, you and Hello AI agree to resolve any claim through final and binding arbitration, except as set forth below. The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Broward County, Florida.

  • Exceptions to Arbitration: Either party may bring a lawsuit in court for claims of injunctive relief to stop unauthorized use or abuse of the Services, or for claims of intellectual property infringement.

  • CLASS ACTION WAIVER: YOU AND HELLO AI AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. U.S. Government Users

Our Services are "commercial computer software" and our documentation is "commercial computer software documentation." If you are a U.S. Government entity, your use, duplication, or disclosure of the Services is subject to the restrictions set forth in these Terms.

14. General Terms

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Hello AI regarding the Services.

  • Changes to Terms: We may modify these Terms from time to time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
